The Board of Directors of Nano Dimension Ltd. (the "Company") sets high standards for the Company's employees, officers and directors. Implicit in this philosophy is the importance of sound corporate governance. It is the duty of the Board of Directors to serve as a prudent fiduciary for shareholders and to oversee the management of the Company's business. To fulfill its responsibilities and to discharge its duty, the Board of Directors follows the procedures and standards that are set forth in these guidelines. These guidelines are subject to modification from time to time as the Board of Directors deems appropriate in the best interests of the Company or as required by applicable laws and regulations.

Ofir Baharav
Mr. Ofir Baharav has been serving on the board of directors of Nano Dimension since October 2015. He was appointed chairman December 2019. Mr. Baharav is a partner and executive in Stratus Venture Group Florida. He founded and ran 3D printing and semiconductors companies, operating in the United States, China, Japan, Korea and Europe. He is a named inventor on over 10 patents in software and hardware.

Mr. Baharav was a VP Product Portfolio in Stratasys, Ltd., where he worked to convert a slow moving product line into Stratasys’ fastest growing segment. He was the founder and CEO of Xjet Ltd., raised over $60M in capital and led Xjet from inception to first product sales in less than two years, installing machines in China, Singapore and Germany. In Credence Systems Corporation (Nasdaq: CMOS), Ofir was Executive VP Products, and contributed to the company’s generating $450M in annual revenue, controlling $120M in R&D budget, cooperating with industry leaders such as Intel and Toshiba. Prior to that, as the President of Optonics Inc., he led its growth from a four-person company to 120 employees and over $100M in sales with 25% net profit in five years.

Ofir was the founder and President of Healinx/Relayhealth Corporation the world’s first patient/doctor e-visit platform, where he raised $26M from premier venture capital firms, and later sold the company to McKesson (Nasdaq: MCK) for $50M.
Amit Dror
Mr. Amit Dror, co-founded Nano Dimension and served as our Chief Executive Officer from August 2014 to December 2019. Previously, Mr. Dror co-founded Eternegy Ltd. and served as its Chief Executive Officer and a director from 2010 to 2013. Mr. Dror also co-founded the Milk & Honey Distillery Ltd. in 2012. He developed vast experience in project, account and sales management across a range of roles at ECI Telecom Ltd., Comverse, Eternegy Ltd. and Milk & Honey Distillery Ltd.

Mr. Dror has a background that covers technology management, software, business development, fundraising and complex project execution. Mr. Dror is a Merage Institute Graduate.

Yaron Eitan
Mr. Yaron Eitan is a technology entrepreneur, founder and investor with over 30 years of experience building and running privately held and publicly traded companies in the United States and Israel. He currently serves as the chief executive officer and co-founder of DeepCube Ltd., a deep learning software accelerator for inference. He is also the co-founder and chairman of both Emporus Technologies Ltd., which deploys deep learning in capital markets, and Marpai Health Inc., a company utilizing advanced analytics in healthcare. Mr. Eitan is also co-founder and co-chairman of 340Basics Technologies, Inc., a healthcare IT company. Previously, he founded and was the chief executive officer of Selway Capital, a venture capital incubator for high tech start-up companies. He founded and acted as a chairman and/or chief executive officer for DVTEL, Inc., Magnolia Broadband, Inc., and Geotek Communications Inc., a publicly traded company in wireless communications. Mr. Eitan was also a partner at CNTP, a $300 million technology venture fund that invested $100 million in several Israeli companies including Fiverr, Deep Instinct and Credorax. Mr. Eitan has a BA in Economics from Haifa University and an MBA from the Wharton School of Business of the University of Pennsylvania.
Simon Anthony-Fried
A co-founder of Nano Dimension, Simon is an authority on the global additive manufacturing, printed electronics and 3D printing sectors. He previously led Nano Dimension’s USA activities overseeing business development, marketing, sales and product management for this revolutionary additive technology. With experience working in the US, Israel and throughout Europe, he has held senior and advisory roles in start-ups in the solar power, medical device and marketing sectors. Previously, he worked as consultant on projects covering sales, marketing and strategy across the automotive, financial, retail, FMCG, pharmaceutical and telecom industries. He also worked at Oxford University researching investor and consumer risk and decision making.

Past positions include roles with Monitor Company, Financial Services Authority, Oxford Risk, Mountainview, Oxford University, Eternegy and Milk & Honey Distillery. Mr. Fried holds a M.B.A. from SDA Bocconi & HEC Paris, a M.Sc. in Behavioral Economics from Oxford University and a B.Sc. in Risk & Choice from University College London.
Ron Eleazar Kleinfeld
Mr. Roni Kleinfeld has served on the board of directors as a director since November 2012. He has over 25 years of experience as a chief executive officer of both public and private companies. He was the CEO of Maariv Holdings Ltd. from 1993 to 2002, the CEO of Hed Artzi Records Ltd. from 2002 to 2007, the CEO of Maariv Modiin Publishing House Ltd. from 2007 to 2010 and the CEO of OMI Ltd. from 2010 to 2011.

Mr. Kleinfeld has also served as a director of many companies over the past ten years, including: Excite Ltd. from April 2007 to April 2011, Makpel Ltd. from July 2007 to March 2010, Elbit Imaging Ltd. (NASDAQ: EMITF) since May 2010, Elran Ltd. since July 2010, Dancher Ltd. from April 2012 to January 2014, Mendelson Ltd. since 2012, White Smoke Ltd. since June 2012, Cofix Group Ltd. since April 2015 and Edri – El Ltd. since July 2015.

Mr. Kleinfeld has a B.A. in Economics from the Hebrew University in Jerusalem.
J. Christopher Moran
J. Christopher Moran (Chris) is a Vice-President of Lockheed Martin Corporation and the Executive Director and General Manager of Lockheed Martin Ventures, the venture capital investment arm of Lockheed Martin. He is responsible for leading the Corporation’s investments in small technology companies which support Lockheed Martin’s strategic business objectives.

Prior to joining Lockheed Martin, Mr. Moran served in a variety of increasingly responsible positions at Applied Materials, Inc., Santa Clara, CA. Most recently, he was the head of the Business Systems and Analytics group in the Applied Global Services Organization. Mr. Moran was with Applied for over 32 years, including as the head of Corporate Strategy and the General Manager of Applied Ventures LLC, the strategic investing arm of Applied Materials.

Mr. Moran is a graduate of the Massachusetts Institute of Technology where he obtained both his Bachelor and Master degrees in Mechanical Engineering.
Nira Poran
Ms. Poran has extensive experience in managing content-technology companies, international businesses initiatives as well as corporate and communal business development efforts. Ms. Poran had served as an Adviser of Public Affairs for the Prime Minister of Israel where she supervised the Status of Women portfolio. In this role, she was involved in various committees and activities, including different parliament committees. She also represented the State of Israel in UN conferences in Vienna and New York. Ms. Poran lived and worked in Paris, New York, Barcelona, Rio de Janeiro, Shanghai and San Francisco.

Ms. Poran is the Executive Director of the Association of Corporate Counselors. She was a legal adviser in the firm ZAG/JUN ZEJUN, a cooperation between an Israeli and Chinese law firm.

Prior to that, Ms. Poran was the co-founder and chief executive officer and later the Chairperson of the Board of Mars Interactive Games Ltd. Mars was a pioneer content technology company, developing interactive television games and game channels for digital networks.

Ms. Poran earned a MA with honors in Gender Studies and an LLM, International and Public Law, from Tel Aviv University and Northwestern University in Chicago, IL.

Prof. Shlomo Magdassi
Professor Shlomo Magdassi is a professor of chemistry at the Casali Center for Applied Chemistry, the Institute of Chemistry and the Center for Nanoscience and Nanotechnology at the Hebrew University of Jerusalem, Israel. His research focuses on colloid science, and in particular on formation, formulation and applications of novel micro and nanoparticles. These particles can be used as active components in functional inks and coating, for example light absorbing particles for solar energy devices, and metal nanoparticles and CNTs for 2D and 3D printing. He is the editor of three books, among them The The Chemistry Of Inkjet Inks.

In addition to his scientific publications, he also has various inventions on applications of colloids in industrial products. Based on these inventions, some commercial activities evolved and led to worldwide sales and establishing new companies. Magdassi received his B.Sc., MSc. and Ph.D. degrees in chemistry from the Hebrew University of Jerusalem.
